Open to investors
In a hotel the value is spread between the property, the licence and classification of the establishment, the management contract if there is one, and the operating results. Many deals are structured by separating the property from the operation, which lets a real estate investor buy the building while an operator keeps the management. That separation completely changes the buyer profile to target.
In a restaurant or a bar the weight shifts to the lease, the activity and terrace licences, the kitchen equipment and the clientele. The transfer is usually faster, but the margin for error in valuation is greater because results depend heavily on day-to-day management.
They are the same ones that come up again and again in this sector, and they are best resolved before the business goes to market.
There are two very different ways to take part in this sector. Buying the running business means taking on its management: the usual route for experienced operators and for anyone who wants to work in their own establishment. Coming into a hotel project as an investor means contributing capital to a deal — a refurbishment, an extension, the opening of a new establishment — with a minimum ticket, an estimated return and a defined horizon, without getting involved in the day to day.
Each opportunity sheet states clearly which of the two it is, because the risk profile and the personal commitment have nothing in common.
With an anonymous listing that identifies the establishment by type, province, number of rooms and figures, with no name or address, and by releasing the information memorandum only to screened buyers who have signed confidentiality. In accommodation discretion matters especially: news of a sale affects the relationship with distribution channels and the staff in the middle of the season.
It can be done either way, and often the best deal is to separate them: selling the property to a real estate investor and handing the operation to an operator, or the reverse, keeping the building and charging rent. That decision changes the price, the tax treatment and the type of buyer to target, so we work on it with you from the start.
That is the critical point. You have to check how long is left, whether the contract allows assignment or transfer, whether the landlord is entitled to raise the rent or share in the transfer price, and whether there is a change-of-control clause. A short or non-transferable lease reduces value considerably, and it is better negotiated with the landlord before sitting down with a buyer.
The estimated return on each sheet is a promoter projection based on a business plan and on occupancy and average price assumptions, not a commitment. What we do verify before listing is that there is an identifiable promoter with a track record, that licences are granted or genuinely in process and that the use of funds is defined in writing.
Yes. You need a Spanish foreigner identification number, the right corporate structure and compliance with the applicable foreign investment declaration obligations. It is a frequent transaction among our international clients, and we coordinate it alongside the incorporation of the Spanish company and, where needed, the residency file.
