How a company sale is actually closed
Buying and selling are not the same process
A seller needs discretion above all, plus a defensible valuation: bringing the business to market without the staff, the suppliers and the competition finding out, and arriving at the table with the numbers in order. A buyer needs the opposite: access, comparison between alternatives and a thorough review of what sits beneath the accounts.
That is why we run the two sides as different processes. If you are selling, start on the company sale page; if you are acquiring, start on the company acquisition page. In both cases the starting point is the same: an honest valuation.
Share deal or asset deal
A transaction can be structured in two ways and the difference is enormous. In a share deal the buyer acquires the whole company: its staff, its contracts, its licences and also its past liabilities, including the ones nobody knew about. In an asset deal the buyer takes the premises, the machinery, the brand and the client base, leaving the company history behind, but many licences and contracts have to be renegotiated from scratch.
The structure drives the price, the tax treatment and the warranties agreed. It is one of the first decisions and it should be taken with the tax adviser in the room, not at the end.
What due diligence covers
Due diligence is the orderly review of the business before signing. It is not a formality: it is where the surprises that adjust the price or kill the deal come out.
- Financial: accounts for recent years, normalised EBITDA, real debt, working capital and seasonality
- Employment: headcount, seniority, applicable collective agreement, contingencies and the real cost of any restructuring
- Tax: open tax years, ongoing inspections and risk criteria
- Legal and contractual: leases, client and supplier contracts, change-of-control clauses
- Licences and assets: activity licences, sector permits, industrial property and equipment condition

Questions about buying and selling companies
How long does a company sale take?
It depends on size and on how orderly the information is. In small and mid-sized businesses with the accounts up to date, expect months rather than weeks: valuing, preparing the information memorandum, finding a counterparty, negotiating, running due diligence and closing before a notary. Processes that drag on almost always do so because of incomplete documentation or an unrealistic price expectation at the outset.
How is confidentiality protected?
We publish opportunities anonymously, identified by sector, province and figures, with no name or address. Sensitive information is only released after a confidentiality agreement is signed and once we have checked that the party has genuine capacity for the transaction. The owner decides at every point who the file is opened to.
When are the employees told?
Usually when the deal is virtually closed, respecting the information obligations that employment law imposes depending on the structure chosen. Announcing it too early tends to trigger the departure of key people exactly when it matters most that the business keeps running normally.
How do you charge?
Most of our remuneration is tied to closing the transaction and is agreed in writing before we start, with the percentage or amount fixed in advance. Work that requires fixed dedication regardless of outcome, such as a formal valuation report, is quoted separately and also in writing.
Can you help finance the purchase?
Yes. We work on the financing structure alongside the rest of the deal: bank debt, deferring part of the price to the seller, bringing in an investor partner, or a combination of the three. Structure and price are negotiated together, because a higher price on good payment terms can be a better deal than a lower one paid in cash.
Do you work with franchises?
Yes. We broker the transfer of operating franchise units, the entry of new franchisees and the sale of entire networks. The particular feature here is that the franchisor has to approve the buyer, which adds a step to the process and is best anticipated from the start.
