What gets looked at before a round

The corporate structure is fixed before, not during

Many rounds stall over things that have nothing to do with the product: a cap table with too many small shareholders, stakes distributed with no shareholders agreement, friends-and-family contributions documented any old way, or intellectual property still held by a founder rather than the company.

Sorting that out before opening the round saves weeks of due diligence and avoids discounts on the valuation. It is the first thing we review when a startup tells us it wants to raise capital.

What an investor looks at in each stage

Expectations change a great deal with the stage of the company, and pitching at the wrong one is a frequent cause of rejection.

  • Idea and pre-seed: founding team, size of the problem and ability to execute on little
  • Seed: product in the hands of real users, first usage metrics and signs that someone pays
  • Series A: sustained growth, unit economics that work and a repeatable acquisition channel
  • Growth: margins, client retention and the ability to scale into other markets without breaking operations

Landing in Spain and Europe

For a startup from abroad, entering the European market means decisions worth taking carefully: branch or subsidiary, where to domicile the company, how to hire the first local team and how to comply with data protection rules from day one.

We support that landing together with our company formation and visa services, and open the door to our network of contacts in Europe, the United Arab Emirates, Morocco, China and the United States.

Common questions

Questions about startups and investment rounds

At what stage does it make sense to raise investment?

When the capital accelerates something that already works, not when it is there to find out whether it works. If you are still validating the problem, it is almost always better to progress on your own resources or on grants and soft debt: raising too early dilutes heavily at a valuation that later becomes hard to justify.

Do you help find investors?

We present projects to our network of private investors when they fit their profile, and we work on the preparation beforehand: documentation, cap table, materials and rehearsing the conversation. We do not guarantee a round will close, because that depends on the project and the market.

What documentation does a round require?

As a minimum: a project presentation, a financial model with explicit assumptions, usage and revenue metrics, an up-to-date cap table, the shareholders agreement if one exists, key contracts and documentation showing that the intellectual property sits with the company. The tidier everything arrives, the shorter and less painful due diligence is.

Can I incorporate the startup in Spain as a foreign national?

Yes, with Spanish foreigner identification numbers for the shareholders and directors. It is a common route for teams that want to operate in the European market. If you are also going to live here, the corresponding authorisation has to be processed, which is a separate procedure with its own timelines.

Do you work with startups that already have revenue?

Yes, and that is usually where we add most: preparing growth rounds, entering new markets, tidying the corporate structure ahead of a transaction and, when the time comes, selling the company to an industrial buyer. In that last case the process looks more like a company sale than a round.

What is the difference between raising a round and selling the company?

Raising a round brings in a partner who contributes capital for growth while you stay in charge, with your stake diluted. Selling transfers control and you exit, fully or partly. They are different processes, with different documentation and negotiation, and it is worth being clear which one you want before sitting down with anyone.
