Buying or selling a clinic in Spain

What you are really buying when you buy a clinic

In a clinic the fixed assets are usually the least decisive part. What holds up the price is the recurring patient base, the reputation of the practitioners, the location and, above all, the health authorisations of the centre. Cutting-edge equipment can be bought; a health authorisation in force with an established activity at the same address cannot always be.

That is why deals in this sector are usually structured as a purchase of shares in the holding company rather than as an asset purchase: transferring a health authorisation to a new holder can require a lengthy procedure before the competent regional authority, whereas if the company stays the same, the authorisation stands.

What we review in a clinic before you reach the table

Due diligence on a healthcare centre has layers that do not appear in other sectors, and they explain much of the difference in price.

  • The centre health authorisation, the authorised service portfolio and whether it matches the activity actually carried out
  • Qualifications, professional registration and contractual status of the practitioners, and what happens to them after the change of ownership
  • Dependence on a specific practitioner: if patients come for a person, the value leaves with them unless a lock-in is agreed
  • Condition and financing of the equipment, with any outstanding leasing arrangements
  • The lease on the premises, remaining term and whether assignment is allowed
  • Health data protection, the most sensitive category, and traceability of clinical records
  • Claims, professional liability and insurance cover

Where the market moves

Madrid and Barcelona concentrate most aesthetic medicine and dental transactions, with prices above the national average and competition from groups growing by acquisition. In mid-sized cities multiples are lower, but so is competition for the asset, and a well-positioned clinic can perform better.

We run transactions across Spain from our Barcelona base, and circulate opportunities among domestic buyers and international investors alike, who are particularly active in this sector.

Frequently asked questions

Questions about buying and selling clinics

What is an aesthetic clinic worth?

The range depends on normalised EBITDA, the recurrence of the patient base, the location and how much the business depends on a specific practitioner. Two clinics with the same revenue can be worth very different amounts if in one the patients come for the brand and in the other for the doctor who is about to leave. We run the valuation with the accounts in front of us and explain where each number comes from.

Can I buy a clinic without being a doctor?

Yes. Owning the company that operates a healthcare centre does not require medical qualifications; what is mandatory is that there is a technical or clinical director with the qualifications and professional registration required by regional rules, and that the centre keeps its health authorisation. This is one of the points to settle before signing, not after.

What happens to the health authorisation when ownership changes?

It depends on how the deal is structured and on the region. If the shares of the holding company are bought, the authorisation usually stands because the holder does not change. If the assets are bought, a new authorisation or a modification normally has to be applied for, with the timelines that implies. That difference can be worth months of trading and should be decided at the outset.

How is patient data protected in a transaction?

Health data is a special category and handling it in a deal requires care: during due diligence the work is done with aggregated or dissociated information, and the actual transfer of clinical records is arranged on the correct legal basis and with the appropriate information to patients. We always review this point, because a mistake here has serious consequences.

Can I sell my clinic without my patients and my team finding out?

Yes. We list anonymously — type of centre, province, figures — and the name is only disclosed to parties who have signed confidentiality and demonstrated purchasing capacity. In clinics this matters especially, because losing a key practitioner during the process directly reduces the value of what you are selling.
