Buying a technology company: what to look at

The value sits in things that are not on the balance sheet

In a technology company the fixed assets are almost irrelevant. What you buy is the code and its documentation, the client base and its behaviour, the recurring contracts, the team that knows how the product works and the intellectual property. An excellent product with poorly documented IP is worth considerably less than it looks.

That is why the review focuses on ownership of the software, on the contracts with developers — including freelancers and outside agencies — on third-party and open-source licences used, and on whether there is critical dependence on a single person.

The metrics that support a valuation

In subscription and recurring-service businesses, the quality of revenue counts for much more than its volume.

  • Recurring revenue versus one-off projects, and average contract length
  • Client and revenue churn, which is what reveals whether the product is genuinely used
  • Concentration: how much the largest clients weigh on the total
  • Acquisition cost against customer lifetime value
  • Technical debt and the real cost of keeping the platform running
  • Ownership of the intellectual property and data protection compliance

Frequently asked questions

Questions about technology companies

How is a software company valued?

It depends on the model. Companies with recurring revenue are usually valued on multiples of annualised revenue adjusted for growth and churn; consultancies and technology service firms on multiples of normalised EBITDA. What matters is the quality of the revenue and how independent the product is from its founders.

What happens to the technical team in a sale?

It is one of the main reasons these deals fail. If the knowledge sits with two or three people, the buyer will want to secure their continuity with lock-ins and with part of the price tied to them staying. Anticipating that conversation stops the deal collapsing in the final stretch.

What is the difference between selling and raising a round?

Selling transfers control and you exit, fully or partly. Raising a round brings in a partner contributing capital for growth while you stay in charge, with your stake diluted. They are different processes with different documentation and negotiation; if yours is the second, start on our startups page.

Do you work with technology companies outside Spain?

Yes. We run transactions in Spain and Portugal, and support foreign companies entering the European market. In those cases we coordinate the corporate side and, if the team relocates, the residency files as well.
